Role Description

To lead the Legal and Compliance functions, being a custodian of the corporate assets and contributing to the growth and profitability of the group through the provision of legal advice and assistance on contentious and non contentious matters.
To also act as the Data Protection Officer

Principal Responsibilities
  • Leading the provision of Legal support across the Princes Group including management of qualified and unqualified colleagues.
  • Communicating and working with all parts of the group both within the UK and internationally, and engaging directly with other stakeholders including suppliers, customers, regulators, insurers and external legal counsel.
  • Managing the company secretarial support provided to the business
  • Developing and implementing plans and process improvements within the Legal Team and wider Departments to support and develop company strategy and overall efficiency. Identification of process improvements to accommodate growing workload.
  • Negotiating, reviewing, drafting and advising on commercial contracts and terms and conditions. Negotiations will take place with a variety of parties including suppliers, customers, licensors, marketing agencies and regulators in accordance with rules in the Decision Matrix or JV agreements and adhering to agreed timescales.
  • Providing training in accordance with the agreed Compliance Programme.
  • Advising on a variety of legal issues across the Group including supply issues or contractual disputes to achieve commercial resolutions.
  • Providing Legal support to Senior Management on project based/strategic work.
  • Ensuring that intellectual property across the group is properly managed and protected
  • Managing and progressing litigation and regulatory issues that may arise
  • Performing the role of Group Compliance, managing the compliance committee meetings and advising the compliance officer on any compliance issues arising
  • Acting as the Data Protection Officer for Princes Ltd and ensuring that appropriate processes and procedures are in place to ensure compliance with relevant legislation
Role Requirements

  • Strong leadership skills with a proven ability to lead, train and motivate a professional team
  • Qualifying Law Degree or non-Legal Degree Level with a completed Graduate Diploma in Law.
  • Qualified Solicitor with at least 10 years post qualification experience (or equivalent qualification/experience).
  • Experience of working in a public company environment or comparable works within private practice
  • Experience or Knowledge of:-
  • Corporate transactions, including M&A and Property
  • Civil law and common law jurisdictions
  • regulatory issues
  • Contracts on a multi-jurisdictional level including negotiating deals with demonstrable track record of success.
  • Managing litigation
  • Capital expenditure contracts (MF/1 and NEC).
  • International trade, Inco terms and border controls
  • A good all round knowledge with experience of drafting and negotiating a broad range of commercial contracts and general queries both contentious and non contentious
  • Strong commercial experience and ability to provide innovative solutions to complex legal and commercial issues.
