An exciting opportunity has become available for a Legal & Compliance Officer to join our team.

Rolls-Royce & Partners Finance Limited ("RRPF") is the world's largest engine leasing business for Rolls-Royce aircraft engines and IAE V2500-A5 engines, providing medium and long-term leasing solutions for spare engines. We support over 50 customers worldwide with a portfolio of over 420 engines.

The role is extremely diverse and requires excellent organisational skills, the ability to multi-task and to prioritise workload, as well as the ability to communicate effectively with customers worldwide and a variety of stakeholders. Teamwork, organisational skills, accuracy and a meticulous eye for detail are essential.

The role includes co-ordinating closing of sale and leaseback transactions of aircraft spare engines which involves working closely with the customer, marketing/sales team, in-house legal counsels, external local counsel, technical and finance teams. The role is also responsible for RRPF's KYC processes and onboarding of new customers and suppliers.

The size and structure of the RRPF organisation means that you will work alongside and communicate with senior team members daily.

To be successful in this role you will need to have experience and a passion for the aviation industry, exposure to sales or leasing, an eye for detail, be capable of working with a diverse mix of external customers and internal partners.

What you will be doing:

  • Responsible for completing anti-bribery & corruption compliance and anti-money laundering checks on potential customers and suppliers.
  • Liaise with relevant stakeholders of any red flags or findings (sales team, Legal, CEO and RR Compliance Team) and escalate accordingly. Communicate any mitigations internally.
  • Maintaining the RRPF Compliance tracker spreadsheet.
  • Ongoing screening/monitoring of RRPF's customers.
  • Responsible for internal training, including new team members, of RRPF's KYC processes.
  • Responsible for maintaining KYC processes
  • Conditions Precedent ("CPs") and Closing Mechanics: review and negotiate CPs required for closing primarily sale and leasing transactions and ensure a successful and efficient closing process
  • Contract management and administration - Drafting of lease extensions and various contractual amendments, E-filing of all RRPF contracts, Insurance/Reinsurance renewals, Letters of Credit (LCs)
  • Corporate governance - drafting of board minutes, board resolutions, powers of attorney, delegated authorities and liaising with RR Corporate Governance team.

  • Desirable experience: KYC/compliance, legal drafting, negotiating, and administering aircraft engine or other aviation asset leases.
  • Desirable qualifications: a degree or equivalent qualification in Law or a related subject or work experience.
The professional level and salary of the position will be dependent on the skills and experience of the successful candidate, but is expected to be BG28.
