We are seeking a detail-oriented and knowledgeable Compliance Officer / Assistant Secretary to join our team. This dual-role position is responsible for ensuring the Bank's compliance with federal and state consumer protection regulations and overseeing aspects of the Bank's corporate governance responsibilities. The ideal candidate will possess strong analytical, organizational, and communication skills, along with a solid understanding of banking laws and regulations.
Compliance Officer Functions
Oversees all aspects of the Bank's Community Reinvestment Act (CRA) requirements. Specific responsibilities include the following:

Compliance Officer Functions
- Acts as a resource for managers and staff on compliance matters, and provides regular updates on new compliance requirements, along with interpretations as applicable and assists with updating/reviewing disclosures, forms and procedures, reviews Bank advertising materials, maintains and revises the Bank's compliance training program as necessary, provides training to staff, bank management and the Board of Directors as necessary.
- Maintains a strong working knowledge of both federal and state banking laws and regulations to ensure that the Bank adheres to all applicable laws, regulations, and internal policies including Fair Lending laws.
- Identifies potential compliance issues and develop strategies to mitigate them, recommend changes to policies, procedures, and manage projects involving implementation of new compliance requirements, including resources such as training, and monitoring progress to completion.
- Maintains various compliance-related policies, conducts detailed compliance reviews to audit business procedures and processes to ensure compliance, and manages the Bank's complaint process by updating the complaint log with all complaints, manages the responses to the complaints and, report results of the complaint investigations to the Board Audit Committee.
- Develops, collects, analyzes, interprets and documents compliance monitoring programs to meet compliance objectives, for all departments of the bank.
- As Assistant Secretary, the position takes minutes at various Board Committee meetings and provides backup support for the Corporate Secretary in administrative matters such as Board meeting minutes and the preparation of corporate resolutions and documents as necessary.
- The position also provides general backup support to the General Counsel & Chief Risk Officer/Corporate Secretary in the handling of any IRM Department matter as assigned.
- Assists during regulatory examinations and or audits (both internal and external), including following up on and assisting in resolving cited violated and/or deficiencies and acting as a liaison to verify that any necessary remediation or changes are timely made.
- Conducts and reports compliance monitoring evaluations in the form of written compliance reports to the Board, and management.
- Co-Manages the Bank's Compliance Committee, provides quarterly updates on compliance matters including but not limited to the Community Reinvestment Act, and the Fair Lending laws to management and staff and the Board of Directors.
- Completes file audits to assess the level of compliance with specific regulations
- Performs UDAAP marketing compliance reviews.
- Administers procedures for addressing customer complaints including internal points of contact.
- Completes Home Mortgage Disclosure Act (HMDA) file audits on closed and non-originated loan files to ensure compliance with Regulation C/HMDA.
Oversees all aspects of the Bank's Community Reinvestment Act (CRA) requirements. Specific responsibilities include the following:
- Recommends and implements enhancements to the CRA Policy and Program that efficiently and effectively prepare the bank for successful CRA examinations.
- Ensures that the bank's community reinvestment activities are tracked, analyzed and modified as appropriate to ensure at least a satisfactory rating.
- Manages relationships with business units for collaboration in developing and monitoring performance goals that meet the bank's CRA objectives.
- Prepares and presents quarterly reviews and self-assessment of CRA activity (analyzes CRA lending, service and investment performance) to the Board Audit Committee and to Senior Management.
- Assists in preparation for, and management of CRA examinations and internal audits, including coordination and the collection of information, materials and other data.
- Collects CRA data and coordinate with others in the bank to identify Community Development Loans, Investments, and track Service Activities.
- Prepares assessment area, census tract, and branch/ATM location mapping.
- Maintains required updates to CRA notice and the Public File.
Education & Experience
- Bachelor's degree in a related field (e.g., Business, Finance, Legal, or Compliance).
- Minimum of 5 years of banking experience in compliance, audit, or risk management roles.
- Strong familiarity with federal and state banking regulations and Fair Lending laws.
- Experience in mortgage and/or commercial lending compliance preferred.
- CRCM certification preferred, or willingness to obtain certification within 12 months of hire.
- Proficient in Microsoft Office Suite (Word, Excel, PowerPoint).
- Experience with bank-specific or proprietary compliance software.
- Exceptional attention to detail and organizational skills.
- Strong written and verbal communication abilities.
- Ability to manage multiple tasks and prioritize effectively.
- Professional judgment and discretion when dealing with sensitive issues.
